Expertise

Darren is a corporate partner with 20 years’ experience (including 5 years in London) in all aspects of a range of corporate transactions, including:

  • mergers and acquisitions - private acquisitions and disposals, joint ventures and shareholders agreements, partnerships, off- market takeovers, schemes of arrangements, capital reductions and share buy-backs
  • equity capital markets – IPOs, placements and rights issues
  • private equity and venture capital
  • funds management
  • financing and securitisation.

Darren has particular expertise in cross-border transactions having advised foreign clients on all aspects of corporate finance transactions in Australia, including fundraising, takeovers, financing and securitisation.

Experience

Darren’s recent experience includes:

Mergers and aquisitions

  • Takeovers: Advising a number of companies listed on the Singapore Exchange in relation to 7 off- market fully scrip takeover bids for ASX listed companies
  • Private M&A:
    • advising Frasers Property on the sale of a commercial property and hotel development at its landmark Central Park development in Chippendale
    • advising the owners of a grains business on the sale to a foreign based agribusiness group
    • advising SKY UK on the sale of Australian News Channel to News Corporation
    • advising Chinese owned Uniasia Group on an acquisition of MOR, an Australia cosmetics business.
  • Joint Ventures/Restructures:
    • advising Spirits Platform on the establishment of a premium spirits distribution business formerly conducted by Beam-Suntory
    • advising a US listed chemicals business on a corporate restructure of its Australian business
    • advising a global software business on a corporate restructure of its Australian operations.

ECM

  • Fundraisings: Advising Singapore listed LionGold Corp Ltd and Blumont Group Ltd on a number of placements in ASX listed companies
  • Listing Rules Advice: Advising ASX listed companies and independent directors on corporate governance and compliance with ASX listing rules

Private equity

  • Acquisitions and disposals: Advising CaterCare on a management buy-out funded by CHAMP Ventures
  • Portfolio investments: Advising private equity funds on a range of matters relating to portfolio investments, including investments, fundraising and capital restructures

Funds management

  • Advising a property fund manager in relation to the establishment of an unregistered managed investment scheme for the purposes of acquiring various hotel properties, including regulatory advice under the financial services and managed investment scheme provisions of the Corporations Act

Financing

  • Senior Debt: Advising a national catering business on a $35 million senior debt financing facility with Commonwealth Bank of Australia
  • Refinancing: Advising the principals of an architectural practice in relation to refinancing and security arrangements with Westpac Banking Corporation
  • Shareholder Financing: Advising a tertiary educational institution on a shareholder debt financing
  • Film financing: Advising a number of film financiers (both domestic and foreign) and production companies on financing for a range of Australian film and television projects, including general production funding and specific funding advances against tax incentives, pre-sales and gap funding.
