Ralph specialises in
mergers and acquisitions, energy and resources, joint ventures,
infrastructure and general corporate and commercial advisory work.
Ralph was at national law firm Mallesons Stephen Jaques before joining
Holding Redlich in November 2005. He has 8 years experience working
in-house as a Company Secretary for an ASX listed petroleum exploration
and production company and is also a qualified accountant.
Ralph has been involved in a broad range of mergers, acquisitions and restructuring matters including:

the merger of Base Backpackers and Auckland Central Backpackers;

advising
Toyota Industry Corporation Australia on its industrial equipment
business acquisitions and restructuring in Australia;
-
the Hills Motorway Limited takeover defence;
-
advising Babcock and Brown on the acquisition of wind farms and other industrial acquisitions;
-
conducting
due diligence and drafting for the restructuring of BHP Billiton’s Port
Kembla infrastructure and collieries assets prior to spin-off of
BlueScope Steel;
-
advising AES Corporation on its sale of power stations to Origin Energy Ltd and Babcock and Brown.
Ralph has negotiated and drafted agreements and term sheets for a number of complex contractual arrangements including:

Delfin Lend Lease’s property development at Wilton;
-
BlueScope Steel’s outsourcing of cryogenics operations at its Port Kembla steel works;
-
long term coal supply agreement between BHP Billiton and BlueScope Steel;
-
cogeneration project for an Australian steel company.
Ralph has been involved in a number of infrastructure projects including:
Ralph
also has significant experience in drafting a range of commercial
agreements including supply agreements (including electricity and gas
supply), sales agency agreements, joint venture agreements, farm-in and
farm-out agreements and a broad range of drilling services agreements.
